By accessing or using our website (www.ohyainvestment.com), mobile application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms govern your use of the Platform, your participation in fractional investment opportunities, and your relationship with OhyaInvestment. Please read them carefully. If you do not agree to these Terms, you may not access or use the Platform.
This document is an electronic record in terms of Information Technology Act, 2000 and rules made there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures. This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and user agreement for access or usage of our website ‘(www.ohyainvestment.com)’ (hereinafter referred to as the "Website") The Platform (hereinafter defined) refer to an internet based portal owned and operated by 24E-SERVICES PRIVATE LIMITED, company duly incorporated under the Companies Act, 2013, and having its registered office located at A 36 Nanak Pura near Metro Pillar no. 59, Vikas Marg, Laxmi Nagar, New Delhi, Delhi - 110092
1. Definitions
Platform - The OhyaInvestment website, mobile application, and associated services.
User - Any individual or entity accessing or using the Platform, including investors.
Investor - A User who participates in fractional investment opportunities offered by Ohya.
Fractional Investment - A financial contribution toward a real estate property listed on the Platform, entitling the Investor to annual returns, without conferring any right, title, or interest in the property itself.
Property - Real estate assets listed on the Platform for fractional investment opportunities.
KYC - Know Your Customer verification process as required under Indian law.
2. Eligibility
2.1 To use the Platform, you must-
Be at least 18 years of age and legally capable of entering into binding contracts under Indian law.
Be a resident of India or a non-resident Indian (NRI) compliant with applicable foreign exchange regulations (e.g., FEMA).
Provide accurate, complete, and up-to-date information during registration and KYC verification.
2.2
Ohya reserves the right to refuse access or terminate accounts for Users who fail to meet eligibility criteria or violate these Terms or on any other ground, as upon its own discretion without having to provide any justification for the same.
3. Services Overview
3.1
OhyaInvestment offers a platform for fractional investment in real estate properties in India, enabling Users to contribute financially to Properties and receive annual returns based on their investment amount, without acquiring any ownership rights, title, or interest in the Properties.
3.2
We curate a portfolio of Properties, manage all operational and legal aspects, and distribute annual returns to Investors proportional to their investment, derived from rental income or other revenue streams generated by the Properties.
3.3 Services include -
Access to a diversified portfolio of Properties for investment.
Management of Investments, including maintenance and revenue collection.
Annual distribution of returns to Investors.
3.4
Ohya acts as an intermediary and does not guarantee specific returns or Property performance. Investors do not hold equity in the Properties
4. Registration and Account
4.1
To invest, you must create an account on the Platform by providing your name, email address, phone number, and other details as requested.
4.2 You agree to -
Maintain the confidentiality of your account credentials.
Notify us immediately of any unauthorized access or security breach at support@ohyainvestment.com.
Update your account information promptly if it changes.
4.3
Ohya is not liable for losses resulting from unauthorized use of your account due to your failure to secure your credentials.
4.4
We may suspend or terminate your account if we suspect fraudulent activity, incomplete KYC, or violation of these Terms.
5. Investment Process
5.1 Exploration
Browse Properties listed on the Platform, each accompanied by details such as location, valuation, expected annual returns, and due diligence reports. Investors do not acquire any right, title, or interest in these Properties.
5.2 Investment
The investment amount are subject to availability and Property-specific limits.
Payments must be made via approved methods (bank transfer, UPI, Debit Card) in Indian Rupees (INR).
Your investment entitles you to annual returns based on the revenue generated by the Property, proportional to your contribution, without conferring ownership rights.
5.3 Returns
Investors receive returns annually, credited to their registered bank account, subject to deductions for fees, taxes, and operational costs.
No returns are distributed outside the annual cycle unless specified otherwise by Ohya.
5.4 Exit
You may request to withdraw your investment at any time, subject to liquidity availability and a minimum holding period (if applicable, as specified per Property).
Funds will be credited to your registered bank account within 4-5 business days of approval, provided KYC and bank details are complete and verified.
Ohya reserves the right to delay withdrawals in exceptional circumstances (e.g., legal disputes, market disruptions).
Withdrawal does not involve the sale of the Property or any ownership transfer, as Investors hold no title.
6. Fees and Charges
6.1 Ohya charges the following fees
Platform Fee - A one-time fee for facilitating the investment opportunity.
Exit Fee - A fee upon withdrawal, as disclosed per Property.
6.2
All fees will be clearly disclosed before you invest in a Property. Additional costs (e.g., taxes, administrative expenses) may apply and will be deducted from annual returns.
6.3
Ohya reserves the right to modify fees with prior notice via the Platform or email.
7. Risks and Acknowledgments
7.1 Fractional investments involve inherent risks, including
Fluctuations in Property revenue affecting annual returns.
Delays in withdrawals due to liquidity constraints or operational issues.
7.2 You acknowledge that
You do not acquire any right, title, or interest in the Properties or related SPVs.
Past performance is not indicative of future results.
Ohya does not promise Property appreciation or specific financial outcomes.
You have independently assessed the risks and consulted financial advisors if needed.
8. KYC and Compliance
8.1 To invest or withdraw funds, you must complete KYC verification by submitting
Government-issued ID (e.g., Aadhaar, PAN, Passport).
Proof of address.
Bank account details.
8.2
Ohya complies with the Prevention of Money Laundering Act, 2002 (PMLA), and reserves the right to report suspicious transactions to authorities.
9. Intellectual Property
9.1
All content on the Platform (e.g., text, logos, images, reports) is owned by OhyaInvestment or its licensors and protected by intellectual property laws.
9.2
You may not reproduce, distribute, or modify Platform content without prior written consent from Ohya.
10. User Obligations
10.1 You agree to
Provide accurate information and refrain from misrepresentation.
Use the Platform solely for lawful purposes.
Not attempt to reverse-engineer, hack, or disrupt the Platform.
10.2 Prohibited activities include
Submitting false KYC documents.
Engaging in fraudulent investment schemes.
Harassing other Users or Ohya staff.
11. Limitation of Liability
11.1 Ohya is not liable for
Indirect, incidental, or consequential damages arising from Platform use.
Delays or interruptions due to technical issues, force majeure, or unforeseen events.
11.2
Our liability, if any, is limited to the amount of your investment with us, subject to applicable law.
12. Indemnity
12.1 You agree to indemnify and hold OhyaInvestment, its affiliates, directors, employees, and agents harmless from any claims, losses, or damages arising from
Your breach of these Terms.
Misuse of the Platform.
Violation of applicable laws or third-party rights.
13. Termination
13.1 Ohya may terminate or suspend your account and access to the Platform
For violation of these Terms.
If required by law or regulatory authorities.
Upon discontinuation of services (with reasonable notice).
13.2
Upon termination, your investment will be processed per the Exit terms (Section 5.4), subject to outstanding obligations.
14. Dispute Resolution
14.1
These Terms are governed by the laws of India.
14.2 Any disputes arising from or related to these Terms shall be resolved through
Negotiation - Parties will attempt to resolve disputes amicably within 30 days.
Arbitration - If unresolved, disputes will be referred to a sole arbitrator in Delhi, per the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English.
14.3
Courts in Delhi shall have exclusive jurisdiction over matters not subject to arbitration.
15. Amendments
15.1
Ohya reserves the right to modify these Terms at any time. Changes will be posted on the Platform and emailed to registered Users at least 15 days before taking effect.
15.2
Continued use of the Platform after amendments constitutes acceptance of the revised Terms.
16. Force Majeure
16.1
Ohya is not liable for delays or failure to perform obligations due to events beyond our control, including natural disasters, pandemics, government actions, or technical outages.
17. Privacy
17.1
Your personal information is governed by our Privacy Policy, accessible at []. By using the Platform, you consent to the collection, use, and storage of your data as outlined therein.
18. Miscellaneous
18.1
Entire Agreement - These Terms, along with the Privacy Policy, constitute the full agreement between you and OhyaInvestment.
18.2
Severability - If any provision is deemed invalid, the remaining provisions remain enforceable.
18.3
No Waiver - Failure to enforce any right does not constitute a waiver of that right.
